This week marks an exciting chapter for Travcorp Holdings Ltd, parent company of Destination2, Destination2 Cruise, and Holiday Gems, as it completes the acquisition of Specialist Holidays Group (SHG), home to the teams behind Citalia, Sovereign Luxury Holidays, and American Holidays. Our strategy and M&A team advised Travcorp on all regulatory and commercial matters to ensure the deal went through without any hiccups.
A strategic step in a growing luxury market
This acquisition marks a significant milestone for Travcorp as it strengthens its footprint in the fast-growing bespoke premium travel sector. With affluent travellers seeking highly tailored, experience-led getaways – and recent data from TTG and PwC pointing to continued growth in luxury travel spend – this deal brings together two established operators in the UK travel space. SHG’s expertise in crafting tailor-made escapes across Europe and North America dovetails perfectly with Travcorp’s established distribution channels, unlocking scale, cross-sell opportunities and a wider world of possibilities for every guest.
How TTC supported the deal
Bringing two specialist travel brands together is a complex undertaking. Our Strategy & M&A team supported Travcorp across all regulatory and commercial aspects of the transaction, helping ensure a smooth and timely completion. Our work included:
- Regulatory road-mapping: Navigating change of control approvals with the CAA, ABTA, IATA, and IAA to align regulatory sign-offs with deal timelines.
- Financial modelling: Building financial models to support regulatory submissions and financing discussions.
- CFO support: Working closely with Mark Lawton throughout the transaction, providing hands-on advice and analysis across regulatory, commercial, and structuring matters.
Looking ahead
Huge congratulations to Andrew Botterill, Mark Lawton and Andy Freeth. It’s been a privilege to support you all on this transformative deal, and we’re excited to see what comes next!
“Really pleased with the support TTC provided across Sarah, Martin and Wilf, allowing for a smooth regulatory transition through detailed modelling and planning. The strategic insight and commercial support provided were also invaluable in completing this deal.”
Mark Lawton, CFO, Travcorp
